AMD Athlon xp series had no heating issues...its a very stable and economical processor But read a few reviews about MSI RS480 before fixing on that - there are mixed reviews on the net. Featurewise, its the best motherboard for that money. You get more that what you pay for - a decent onboard ATI graphics, LAN, SATA, TVout, 5.1 audio etc. But, some guys have faced overheating problems with the motherboard.
b) Or is it safe bet to go in for Intel P4 3 ghz ?

I have bought the same configuration recently - Athlon xp 64 3000+ and MSI RS480ML - the system rocks for that price. I installed an additional fan on the system and got a 400W SMPS...just in case. The system was pretty stable, and gave no overheating issues for me. However, the motherboard recently went bad, but that, I think was more due to the lack of earthing in my place rather than has to do with motherboard... HTH Suraj

I would suggest you go for an AMD 64-bit processor. Its too good, very fast!
And an ASUS AI-series motherboard would be a perfect combo.
I have an AMD-64 ATHLON 2800+ processor with an ASUS K8N mobo. Both together make a wonderful system.
